powers among others to purchase and hold lands of a clear yearly value at the
time of purchase, after making the deduction in the said Charter expressed, not
exceeding ^500 sterling : And that, by another Charter or Letters Patent,
bearing date the 20th day of February, 1799, His said Majesty King George the
Third, ratified and confirmed all the privileges, powers, and rights, granted to the
said Society by the above recited Charter, except in so far as the same were
altered by the Charter now under recital, and of new incorporated the aforesaid
Society and such other persons as should first be duly admitted Procurators
before the Sheriff and Commissary Courts of Aberdeen, and who should be
received by the Society, and should contribute to the Funds thereof in manner
therein mentioned, into a Body Corporate and Politic under the name and title
of " The President and Society of Advocates in Aberdeen," with all the powers,
privileges, and rights formerly granted to the said Society by the said first above
recited Charter, and with certain additional powers, rights, and privileges, and
among others with power to purchase and hold lands in addition to those

tempus res haereditarias empserunt et acquisiverunt, et nunc habent in
possessione, quarum integra summa annui valoris apud tempus emendi
in modo per dictas Cartas praescripto aestimata, ad terminum per cartas
antedictas positum, ut antedictum, prope appropinquat ; et quod Societati
sumrnai pecuniarum amplae sunt, quae per praemia admissionis et aliter
annuatim augentur, et quae utiliter investiri possint in acquirendis rebus
haereditariis, optandum fuerit antedictum terminum removere et facul-
tates emendi et tenendi terras atque res haereditarias amplificare : Et
quod, anno Domini millesimo octingentesimo vigesimo sccundo, Societas
Assignavit partem bonorum suorum tunc existentium, et annuarum
futurarum pecuniae collationum atque nummorum introitus Sociorum,

authorised to be purchased and held by the Charter first above recited, of a clear
yearly value not exceeding ,£250 sterling : And that the Petitioners and their
predecessors have, since the date of the foresaid Charters, managed and conducted
the affairs of the said Society, and that the funds thereof have greatly increased,
and become extensively useful to the indigent Members of the Society, and to
the Widows and indigent relations of deceased members, for whose benefit they
were intended, and directed by the said Charters to be applied : And that the
Petitioners have, from time to time, purchased and acquired, and they now stand
possessed of, heritable properties, the clear yearly value whereof, at the time of
purchase, estimated in manner directed by the said Charters, nearly approaches
to the limit prescribed by the said Charters as aforesaid : And that as the Society
is possessed of considerable sums of money, which are yearly increasing by means
of entry monies and otherwise, and which may be advantageously invested in the
purchase of heritable properties, it had become desirable that the foresaid limit
should be removed, and that the powers to purchase and hold lands and heritable
properties should be enlarged: And that, in the year 1822, the Society appro-
priated part of their funds then existing, and of the future annual contributions
and entry money of Members, to the establishment of a Fund for the benefit of

concessa esset per Cartam Regiam amplificantem potestates Societatis
quae attinent ad emendas et tenendas res haereditarias, ct aliter, atque

Societatis et pro administrando opes resque ejusdem, et per quam
Petitores eorumque Successores erigendi essent de novo in unum Corpus



Widows of Members of the Society upon a principle which has been shewn by
repeated scientific investigations to ensure its being maintained in full efficiency,
and which Fund has been found to operate most beneficially for the interests of
the Society : And that they have also erected a Hall and Committee Rooms for
their meetings and for transacting the ordinary business of the Society ; and have
formed a Library, which now contains a large and valuable collection of Books,
besides maintaining a General Fund for the other charitable uses mentioned in
the said Charters, and for the general purposes of the Society : And that the
provisions of the said Charters had in the lapse of time become less calculated to
promote the objects of the Society, in accordance with the progress which it has
made, and with the requirements of the present age, than it is desirable they
should be ; and that it would tend to promote these objects and the future
prosperity of the Society if a new Constitution were granted by a Royal Charter
enlarging the powers of the Society in regard to purchasing and holding heritable
property, and in other respects, and varying the regulations laid down in the said
Charters for the proceedings of the Society, and for the management of the funds
and affairs thereof, and by which the Petitioners and their successors should be

the Petitioners humbly Prayed that We would grant unto them our Royal Charter
for of new erecting them and their successors in the said Society into one
Corporation and Body Corporate and Politic, under the name and title of " The
Society of Advocates in Aberdeen," with a perpetual succession, and with powers
to carry into effect the objects before expressed, and all the powers usually
granted to Bodies Corporate of the like kind : — We, taking into our serious
consideration the aforesaid Petition, and being desirous to promote, so far as in
our power, so useful and benevolent an Institution, therefore, in compliance
with the said Petition, and by virtue of Our Royal prerogative, and out of Our
special grace, certain knowledge, and mere motion, have given, granted,
appointed, confirmed, and declared, as we do by the tenor of these presents,
give, grant, appoint, confirm, and declare, that the present Members of the said
Society, and such others as shall be duly admitted and received by the Society in

per Societatem, in modo postea memorato, in omni tempore futuro,
fuerint una Corporatio et Corpus Corporatum et Politicum nomine et
titulo " Societatis Advocatorum in Aberdonia" (in vulgari "The Society
of Advocates in Aberdeen ") : Et ut illi et eorum Successores semper
posthac successionem perpetuam habuerint pro melius et plus efficienter
administrando, dirigendo, imperando et ordinando omnia ad dictam
Societatem pertinentia, opesque ejusdem : Cum potestate illis, vel
delegato numero suorum Sociorum legitime constituto, ut postea dictum,
admyiistrandi, dirigcndi, imperandi et ordinandi in omnibus rebus et
negotiis, quae spectant ad dictam Societatem, et gubernationem rerum,
opum et omnium aliorum negotiorum, et quibuscunque ad earn
pertinentibus : Et quod dicta Societas, sub nomine et titulo antedicto,
potestatem plenam habuerit, et capax fuerit, secundum legem, habendi,
cmendi, accipiendi et in perpetuum, vel aliter, tenendi, possidendi et
retinendi terras, tenementa, et res haereditarias cujuscunque generis, vel
naturae, et cum tali amplitudine, ut Societati videbitur aptum : Ac etiam
fcenerandi pecuniam super hereditarias vel personales Securitates,
habendi bona, res et possessiones, et recipiendi et tenendi Donationes et
Legata pro usibus dictae Societatis : Ac etiam vendendi, impignorandi
vel vadiandi ullas terrarum, tencmentorum, vel rerum haereditariarum

manner after-mentioned, shall in all time to come be one Corporation and Body
Politic under the name and title of " The Society of Advocates in Aberdeen : "
And that they and their successors shall for ever hereafter have a perpetual
succession for the better and more effectual managing, directing, ordering, and
appointing all things relative to the said Society and the Funds thereof : With
power to them, or a quorum of their Members lawfully constituted as after-
mentioned, of managing, directing, ordering, and appointing in all matters and
affairs touching and respecting the said Society, and the government of the
Estates, Funds, and all other business and concerns thereof : And that the said
Society, under the name and title aforesaid, shall have full power, and be capable
according to law, of having, purchasing, accepting, and in perpetuity or otherwise
holding, possessing, and retaining, lands, tenements, and heritable subjects of
whatever kind or nature soever, to such an extent as to the Society may seem
meet : And also of lending money on heritable or personal securities, of holding
goods, property, and possessions, and of receiving and holding donations and
legacies for the purposes of the said Society : And also of selling, impignorating,
or wadsetting any of the lands, tenements, or heritable subjects aforesaid ; and of

antedictarum ; et dandi atquc concedendi locationes seu assedationes

praepositum, quern Societas, de tempore in tempus, proponet, custo-
dietur : Declarantes tamen quod omnia Instrumenta quae sint necessaria
concedi per dictam Societatem, valida atque efficientia erunt, si signentur
per Praesidentem aut Thesaurarium, pro et ex parte Societatis, et si
sigillum commune eis appensum fuerit: Et Nos, pro Nobis, et Nostris
Successoribus, Concedimus, Ordinamus et Declaramus Quod totae Res
et Possessioncs qualiscunque generis, nunc vestitae in dicta Societate sub
eorum Titulo Corporato " Praesidentis et Societatis Advocatorum in
Aberdonia" (in vulgari "The President and Society of Advocates in
Aberdeen "), fuerint et remanserint vestitae et fuerint possessae tractatae

giving and granting leases or tacks thereof, and of feuing out the same in perpetuity :
And in like manner of raising and carrying on actions, and of sueing and being
sued in any court or place, in the same form and manner as is competent to any
other of our subjects, or to any other Body Politic or Corporate : And moreover,
that there shall be a Common Seal of the said Society, to be used by them for all
the business and affairs of them and their successors ; and that it shall be lawful
to them and their successors to break, change, or renew, the said Seal from time
to time, as they or the quorum of them shall think proper ; which Seal shall be
kept by the Treasurer, or any other office-bearer whom the Society may from
time to time appoint : Declaring always that all Deeds requiring to be granted
by the said Society shall be valid and effectual if signed by the President or
Treasurer on behalf of the Society, and sealed with the Common Seal : And We,
for Us and Our successors, grant, ordain, and declare, that the whole Funds
and property of every kind, at present vested in the said Society, under their
Corporate title of "The President and Society of Advocates in Aberdeen," shall
be and continue vested in, and may be enjoyed, dealt with, and disposed of, by

disposed of, by them under the aforesaid name and title of " The President and
Society of Advocates in Aberdeen " : And We, for Us and Our successors, direct,
ordain, and appoint, that there shall be an Annual General Meeting of the said
Society upon the last Tuesday of November, at such place and hour as the
Society shall from time to time appoint, with the power of adjournment as to the
said General Meeting shall seem expedient, and that the Members at such
Annual General Meeting assembled, or at any adjournment thereof, shall have
full power and authority to elect a President, Treasurer, and other necessary
office-bearers for the subsequent year : And also to appoint a Committee of at
least five of their number, with whom the Treasurer shall consult and deliberate
regarding the Funds of the said Society : And also to appoint such other
Committees as may appear to be necessary for the proper management of the
affairs of the Society, and to delegate to them such powers as shall seem
expedient : And we farther grant and declare that the President of the said

Concedimus atque Dcclaramus ut Praesidenti dictae Societatis, pro
tempore existenti, erit potestas atque auctoritas, ad libitum aut
quotiescunque res eorum requirent, dictae Societatis conventum
convcnire, praemonitione minimum viginti quatuor horas data, aliis
Sociis residentibus vel gerentibus negotia in urbe Aberdonia ; Et quod
dictus Praesidens, quo deficiente, Thesaurarius, quo etiam deficiente, ullus
alius Socius per conventum praestituendus, jus habebit praesidere in
omnibus conventibus Societatis ; Et quod apud omnes conventus
praesentia minimum Septem Sociorum nccessaria fuerit ad efficiendum
quod communiter dicitur " a Quorum " ; Et in omnibus quaestionibus
quae oriantur inter Socios praesentes apud ullum conventum de aliquo
negotio aut re de qua fas esset illis decidere, eaedem numero majori
suffragiorum dijudicatae fuerint ; et in omnibus casibus quibus sufifragia
aequalia fuerint, Praesidens conventus suffragium supernumerarium tarn
etiam deliberativum habuerit ; Providendo nihilominus quod annuus
Praesidens non vocem negandi convocare conventum Societatis habuerit,
sed, eo absente, vel recusante ad citandum, fas erit ullis quinque aut
pluribus Sociis dictae Societatis eo consentientibus, conventum pro re
nata convocare, praemonitione minimum viginti quatuor horas aliis
sociis, ut antedictum, data ; et quod talis conventus potestatem habuerit

Society, for the time being, shall have power and authority, at his pleasure, or so
often as their affairs shall require it, to convene a meeting of the said Society, on
previous notice of at least twenty-four hours given to the other Members residing
or carrying on business in the City of Aberdeen : And that the said President,
whom failing, the Treasurer, whom also failing, any other Member to be
appointed by the meeting, shall have the right of presiding at all meetings of the
said Society ; And that at all Meetings the attendance of at least seven Members
shall be necessary to form a Quorum ; And that in all questions that may arise
among the Members present at any meeting, in regard to any matter or thing
which it is competent for them to decide, the same shall be determined by a
plurality of votes ; and in all cases where the votes shall be equal, the President
of the meeting shall have a casting as well as a deliberative vote ; Provided,
nevertheless, that the Annual President shall not have a negative voice against
calling a meeting of the Society, but that in his absence or refusal to call, it shall
be lawful to any five or more Members of the said Society consenting for that
end, to call a meeting pro re nata, giving notice of at least four and twenty hours
to the other Members as aforesaid ; and that such meeting shall have power to

eligere Praesidentem pro re nata, ac progredi et statuere de omnibus
negotiis et rebus Corporationis quae illis proposita fuerint, in eodem
modo quasi Praesidens annuus adfuerat et praefuerat in tali conventu :
Providendo tamen quod in eventu mortis, resignations vel disquali-
fications Praesidentis vel Thesaurarii aut ullius alius officiarii dictae
Societatis, currente anno pro quo electus fuerat, fas erit Conventui
Generali Societatis, praemonitione de ea re, convocato, eligere alios qui
agant in loco eorum ita demortuorum, resignatorum, vel eorum qui
fierent disqualificati, pro parte anni nondum finita, usque ad proximum
Conventum Annuum : Et Nos, pro Nobis Nostrisque Successoribus,
Ordinamus, Mandamus et Constituimus quod non Sociis dictae
Societatis, eorumve Successoribus, potestas erit expendendi ullam
summam vel summas pecuniae pro rebus postea inibi memoratis, intra
ullum unum annum, ampliores vel majores quam immune annuum
vectigal ct reditus praediorum securitatumque aliarumque possessionum
ad dictam Corporationem pertinentium, et ex currentibus collectionibus
subscriptionibus et donationibus illius anni (omnibus oneribus
supervenientibus et aliis currentibus expensis Societatis ex eisdem
deductis), una cum redundantia anni prioris, praeberent et suppeditarent,



elect a President pro re nata, and to proceed and resolve on all the business and
affairs of the Corporation which shall be laid before them, in the same manner as
if the Annual President had attended and presided at such meeting : Provided
always that in the case of the death, resignation, or disqualification of the
President or Treasurer, or any other office-bearer of the said Society during the
currency of the year for which he was elected, it shall be in the power of a
General Meeting of the Society, called with notice of that object, to elect others
to act in the place of those so dying, resigning, or becoming disqualified, for the
unexpired portion of the year, till the next Annual Meeting : And We, for Us and
Our successors, ordain, direct, and appoint, that it shall not be in the power of
the Members of the said Society or their successors to expend any more or
greater sum or sums of money for the purposes hereinafter mentioned, within
any one year, than the amount which the free annual produce and revenue
arising from the Lands and Securities, and other property belonging to the said
Corporation, and from the current collections, subscriptions, and donations, of
